1. Acceptance of Terms
By accessing or using Synapt's services, you agree to be bound by these Terms and Conditions. These terms constitute a legally binding agreement between you and Synapt. If you do not agree to these terms, you should not use our services.
We reserve the right to modify these terms at any time. Any changes will be effective immediately upon posting to our website. Your continued use of our services following the posting of revised terms constitutes acceptance of those changes.
2. Definitions
For the purposes of these Terms and Conditions:
- "Service" refers to the AI consulting services provided by Synapt, including readiness evaluation, custom model development, and full-stack deployment.
- "Client" or "You" refers to the individual or organization entering into an agreement with Synapt.
- "We", "Us", or "Our" refers to Synapt.
- "Agreement" refers to these Terms and Conditions together with any service-specific agreements.
- "Deliverables" refers to the work products and documentation provided as part of our services.
3. Service Description
Synapt provides professional AI consulting services to organizations in Thailand. Our services include:
- AI Readiness Evaluation: Assessment of organizational capability for AI implementation
- Custom Model Development: Design and development of machine learning models tailored to specific business problems
- Full-Stack AI Deployment: Complete implementation from development through production deployment and monitoring
Specific service scope, deliverables, timeline, and pricing will be outlined in individual project agreements or statements of work that supplement these terms.
4. Eligibility
Our services are intended for business clients and organizations. You must be at least 18 years of age and have the legal capacity to enter into contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.
5. Client Responsibilities
To facilitate effective service delivery, clients agree to:
- Provide timely access to necessary data, systems, and personnel
- Ensure data provided is accurate, complete, and legally obtained
- Maintain confidentiality of sensitive project information
- Respond to requests for feedback and clarification within agreed timeframes
- Designate appropriate stakeholders for project communication
- Comply with applicable laws and regulations regarding data usage
- Provide a suitable environment for deployment where applicable
6. Intellectual Property Rights
6.1 Pre-Existing Materials
Each party retains all rights to its pre-existing intellectual property. Synapt retains ownership of methodologies, frameworks, tools, and general knowledge developed independently of client engagements.
6.2 Deliverables
Upon full payment, clients receive a non-exclusive, non-transferable license to use project deliverables for their internal business purposes. This includes trained models, documentation, and integration code specific to the client's implementation.
6.3 Client Data
Clients retain all ownership rights to data provided to Synapt. We do not claim any intellectual property rights in client data and use it solely for the purposes of delivering agreed services.
7. Payment Terms
Service fees will be specified in individual project agreements. Unless otherwise stated:
- Fees are quoted in Thai Baht (฿)
- Payment is due within 30 days of invoice date
- Projects may require milestone payments as outlined in project agreements
- Late payments may incur interest charges at the rate of 1.5% per month
- All fees are exclusive of applicable taxes unless stated otherwise
7.1 Refund Policy
Due to the custom nature of our services, fees paid for work already completed are generally non-refundable. Refund eligibility for incomplete work will be evaluated on a case-by-case basis and may be subject to deductions for work performed.
8. Project Timelines
Project timelines are estimates based on assumptions about data availability, client responsiveness, and project scope. Actual delivery dates may vary due to factors including:
- Changes in project scope or requirements
- Delays in client data provision or feedback
- Technical challenges discovered during development
- Force majeure events beyond our reasonable control
We will communicate any anticipated delays promptly and work with clients to minimize impact on project outcomes.
9. Confidentiality
Both parties agree to maintain confidentiality of sensitive information shared during the engagement. This includes:
- Business strategies, processes, and operational data
- Technical specifications and implementation details
- Financial information and pricing structures
- Any information marked as confidential or reasonably understood to be confidential
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law.
10. Warranties and Disclaimers
10.1 Service Warranties
We warrant that our services will be performed with professional skill and care consistent with industry standards. Models and systems will be developed using accepted methodologies and best practices.
10.2 Disclaimers
Machine learning models involve inherent uncertainty and performance variability. We do not warrant:
- Specific accuracy levels or performance metrics beyond those agreed in project specifications
- Error-free operation under all conditions and data inputs
- Compatibility with all future systems or data sources
- Specific business outcomes or financial results from implementation
11. Limitation of Liability
To the maximum extent permitted by Thai law, Synapt's total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.
This limitation does not apply to liability for personal injury caused by negligence or violations of applicable consumer protection laws.
12. Indemnification
Clients agree to indemnify and hold harmless Synapt from any claims, damages, or expenses arising from: (a) client's breach of these terms, (b) client's violation of applicable laws or regulations, (c) unauthorized use of deliverables, or (d) claims that client data infringes third-party rights.
13. Termination
Either party may terminate an engagement with written notice if the other party materially breaches these terms and fails to remedy the breach within 30 days of notification.
Upon termination:
- Client shall pay for all work completed through the termination date
- Synapt will deliver work completed to date in its current state
- Confidentiality obligations continue beyond termination
- Licenses to use deliverables survive for work fully paid
14. Dispute Resolution
In the event of any dispute arising from these terms or our services, the parties agree to first attempt resolution through good faith negotiation.
If negotiation does not resolve the dispute within 30 days, either party may pursue formal resolution through the courts of Thailand. These terms shall be governed by and construed in accordance with the laws of Thailand.
The exclusive jurisdiction for any legal proceedings shall be the courts located in Bangkok, Thailand.
15. General Provisions
15.1 Entire Agreement
These terms, together with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior communications and proposals.
15.2 Severability
If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
15.3 Waiver
No waiver of any term shall be deemed a further or continuing waiver of that term or any other term.
15.4 Assignment
Clients may not assign these terms or any rights hereunder without our prior written consent. We may assign our rights and obligations to any successor entity.
15.5 Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
